By purchasing, accepting delivery of, installing, or utilizing any product manufactured or sold by Grainline Woodworks LLC (“the Company,” “we,” “us,” or “our”), you (“the Customer,” “the Buyer,” or “the User”) explicitly agree to be legally bound by the terms, conditions, and disclaimers outlined below.
If you do not agree to these terms, do not proceed with installation or use of the product, and contact us immediately.

1. Acceptance of Terms & Scope of Use

This document governs all products designed, manufactured, and sold by Grainline Woodworks LLC. These terms apply universally to the original retail buyer, any subsequent owners, and any third-party installation contractors or professionals hired by the buyer. No verbal agreement or variance from a sales conversation can alter or supersede these written terms.

2. Custom Ordering, Pricing, & Payment Terms

Many pieces manufactured by Grainline Woodworks LLC are custom, made-to-order commissions.

By placing an order for a custom product, you acknowledge:

  • Production timelines are estimates and not guaranteed
  • Natural wood variations (grain, knots, color tone) are inherent and not defects
  • Minor dimensional or finish variations may occur due to handcrafted processes

Custom and made-to-order items may be non-refundable except as explicitly stated in the Refund Policy.

  • The Commitment Fee: To initiate a project, select materials, and begin custom design engineering, a non-refundable $100.00 Design Fee is required immediately at the conclusion of the initial consultation.
  • Scope: This fee covers the administrative time, professional consultation, and the creation of the initial digital or physical Design Proposal. This fee is completely independent of the final product quote and is non-refundable under all circumstances.
  • Design Proposal Approval: Before any production begins, the Company will provide the Customer with a detailed Design Proposal (including dimensions, joinery styles, wood species selections like Walnut or Basswood, and finish specifications). Production will not be scheduled until the Customer signs or electronically approves this proposal.
  • Quote Validity Window: Written quotes and design proposals are valid for exactly 30 calendar days from the date of issuance. If a deposit is not paid within this window, the quote expires.
  • Lumber Market Surcharges: Due to the volatile nature of the premium hardwood lumber market, if a deposit is delayed past the 30-day validity window, the Company reserves the right to adjust pricing to reflect current material acquisition costs.

Unlike standard retail models, our custom pieces are built to an uncompromising “zero defect” standard using dedicated workshop resources.

  • 100% Paid Upfront: Upon the Customer’s formal approval of the final Design Proposal and product quote, payment of 100% of the total project cost is due immediately.
  • Queue Activation: Physical production scheduling and lumber allocation will not begin until this full balance has cleared our financial institution.

If the Customer elects to cancel a commissioned build after full payment has been processed, refunds are strictly limited based on physical milestones reached in the workshop. Because a custom build consumes unique material and intensive bench labor as it progresses, the refundable amount drops at each phase of production:

  • Milestone Determination: The current production milestone shall be determined solely by the internal production logs and photographic evidence held by the Company at the exact time the written cancellation notice is received.
  • Frozen Specifications: Once full payment is made and the build enters production, the design configuration is frozen.
  • Change Requests: Any customer-requested modifications after payment are subject to approval. Approved changes will trigger a mandatory Change Order Fee plus additional material/labor costs, which must be paid immediately before the build resumes. We reserve the right to deny any changes that conflict with the structural joinery or design integrity.

3. Shipping, Freight, & Transit Risk

Because we ship high-value, heavy solid-wood items, we utilize specialized freight and parcel carriers to ensure your piece is handled with the utmost care. However, once a product leaves our workshop, third-party logistics introduce risks outside our control. The following terms dictate the strict division of responsibility regarding transit.

  • The Customer’s Accuracy Duty: The Customer is solely responsible for providing a completely accurate, legal shipping address at the time of final design approval. We are not responsible for transit delays, lost shipments, or misdeliveries resulting from typographical errors provided by the buyer.
  • Rerouting & Storage Fees: If a shipment must be rerouted, or if a freight carrier must temporarily store your item because you are unavailable to accept delivery at the scheduled time, the Customer is 100% responsible for all additional carrier storage fees, redelivery fees, or rerouting surcharges.
  • Final Confirmation: A “Delivered” status tracking confirmation from a parcel carrier, or a signed Delivery Receipt / Bill of Lading (BOL) from a freight driver, constitutes absolute legal proof of successful completion of the sale.
  • Exclusion of Theft: Once the carrier confirms delivery to the designated address, Grainline Woodworks LLC is entirely released from liability. We are not responsible for post-delivery porch theft, weather damage to packages left outdoors, or items misplaced by building management.
  • Transfer of Liability: The risk of loss, damage, or destruction of the product transfers entirely to the Customer and the transit carrier the exact moment the item is scanned, loaded, or signed into the possession of the third-party carrier at our workshop.
  • Declared Value Insurance: To mitigate this risk, we include third-party shipping insurance matching the declared retail value of your product in your initial shipping quote. This insurance is bound by the carrier’s specific claims terms, not ours.
  • No Delivery Timelines Guaranteed: Production timelines do not include transit time. All shipping timelines provided are third-party estimates only. Grainline Woodworks LLC explicitly disclaims any liability for financial loss, inconvenience, or consequential damages resulting from carrier transit delays, missed delivery windows, supply chain bottlenecks, or weather-related disruptions.

If your piece arrives damaged from transit, it is a matter between the Customer, the Carrier, and the Insurance company. To ensure your insurance claim is valid, you must strictly adhere to the following protocol:

  • Immediate Freight Inspection Mandate: For all freight (palletized/crated) deliveries, the Customer must inspect the exterior crating and the product itself prior to signing the delivery receipt. * Noting Damage on the BOL: If there is any visible damage to the crate or the item, you MUST write “PRODUCT DAMAGED UPON ARRIVAL” explicitly on the driver’s Bill of Lading (BOL) before signing it. If you sign the BOL cleanly without noting damage, the carrier legally considers the item delivered in perfect condition, which completely voids the shipping insurance.
  • Hidden Damage Window: For hidden damage (discovered after opening an intact crate/box), the Customer must document the damage with high-resolution photos and video and notify us in writing within forty-eight (48) hours of delivery. Failure to report transit damage within this 48-hour window closes our ability to file an insurance claim, and the Customer assumes all financial liability for the repair or loss.

4. Product Use & Limitations

Except for any explicit, limited structural warranties provided in writing at the time of purchase, all products manufactured, sold, or delivered by Grainline Woodworks LLC are provided to the Customer on an “As-Is” and “As-Available” basis.

  • Disclaimer of Implied Warranties: To the maximum extent permitted by applicable law, the Company explicitly disclaims all other warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • The Nature of Custom Craftsmanship: The Customer acknowledges that because our products are constructed from natural hardwoods (such as Walnut, Cherry, and Basswood) and finished with specialized or natural coatings (such as Shellac), they are subject to natural variations. The Company makes no warranty or guarantee that the product will perfectly match a specific color swatch, digital rendering, or a previously viewed portfolio piece.
  • No Warranty of Environmental Immunity: The Company provides no warranty regarding how the product will react to the Customer’s specific home climate, humidity levels, or exposure to liquids and sunlight. Once accepted, the product is yours “as-is,” and the risk as to its long-term aesthetic performance under your specific maintenance habits is entirely yours.

Grainline Woodworks LLC is a manufacturer of fine goods only; we do not provide installation services.

  • Structural Anchoring Mandate: For all wall-mounted items—including but not limited to hanging cabinetry, shelving units, wall mirrors, and French cleat organizational systems—the product must be anchored directly and securely into structural wall studs using appropriate load-rated fasteners.
  • Drywall Limitation: Under no circumstances should heavy wood products be hung relying solely on drywall anchors, toggles, or plaster.
  • Professional Recommendation: We strongly advise hiring a licensed, bonded, and insured professional contractor to execute the physical installation of any wall-hung product.
  • Exclusion of Liability: The Customer assumes 100% of the risk associated with installation. Grainline Woodworks LLC explicitly disclaims all liability for property damage, structural wall failures, drywall collapse, or personal injury resulting from improper, negligent, or incorrect mounting, or from exceeding reasonable weight thresholds.

Our products are built utilizing traditional joinery and premium materials to ensure lasting durability under standard residential and commercial use. However, physical balance and loading limits are the sole responsibility of the user.

  • Weight Overloading: Customers must use common sense when loading shelves, ledges, and cabinets. Overloading a unit beyond its structural capacity voids all warranties and relieves the Company of any liability.
  • Surface Displacements: Grainline Woodworks LLC is entirely exempt from liability for any damage to personal property placed on, inside, or near our products. If a product is bumped, installed on an unlevel floor, improperly balanced, or subjected to vibration, and objects (including but not limited to glassware, premium spirits, electronics, or collectibles) fall, slide, or spill, the resulting property damage is exclusively the User’s financial and legal responsibility.

Real wood is an organic, hygroscopic material that continuously interacts with its environment by absorbing and releasing moisture.

  • Acceptance of Character: The Customer acknowledges that natural variations in grain, color, heartwood/sapwood ratios, and unique knot configurations are inherent to fine lumber and do not constitute manufacturing defects.
  • Seasonal Wood Movement: Wood naturally expands and contracts across the grain with seasonal changes in temperature and relative humidity. Minor shifting, checking (fine hairline surface cracks), or slight gaps in joinery are normal behaviors of living wood.
  • Environmental Negligence: This liability exemption strictly applies if the product is subjected to climate extremes. The Customer is responsible for maintaining a stable interior environment (ideally between 35% and 55% relative humidity).
  • Exclusion: Any warping, splitting, buckling, or finish failure caused by placing the product directly over heating vents, adjacent to radiators, in front of active air conditioning drafts, in high-moisture bathrooms, or under prolonged, direct sunlight is classified as environmental negligence and is completely barred from legal recourse against the Company.

We finish our fine wood products with specialized coatings tailored to their intended use, ranging from traditional natural shellac to premium polyurethanes.

  • Chemical Vulnerability (Shellac): The Customer notes and accepts that a natural shellac finish will dissolve or spot when exposed to liquid alcohol (including high-proof spirits), chemical solvents, ammonia-based household cleaners, or standing pools of water.
  • User Maintenance Failures: Damage to the aesthetic or protective coating of the piece caused by a failure to use coasters, trivets, or felt pads, or by using abrasive pads and harsh chemical cleansers, is strictly the liability of the user. We will not be held responsible for refinishing, replacing, or compensating for surfaces marred by user maintenance errors or chemical exposure.

5. Website Rules & Intellectual Property Protection

All content displayed on the Grainline Woodworks LLC website, portfolios, and marketing channels—including but not limited to digital 3D models, custom furniture blueprints, structural joinery designs, text, brand logos, graphics, and video media —is the exclusive intellectual property of the Company.

  • Design Copyrights: Commissioning a custom piece grants the Customer ownership of that single, physical asset. It does not transfer any intellectual property or design rights. The Customer shall not replicate, reverse-engineer, or share our proprietary construction layouts or custom joinery methods for commercial reproduction or sale.

As a modern craft workshop, documenting the life cycle of a build from raw lumber to final finish is a core part of our artistic process and marketing strategy.

  • The Right to Document: By placing an order, the Customer explicitly grants Grainline Woodworks LLC an absolute, royalty-free, perpetual, and irrevocable license to photograph, video-record, and digitally document the entire manufacturing process and the completed product.
  • Social Media Sharing: The Company reserves the right to share this media across all current and future social media channels (including but not limited to Instagram, YouTube, and TikTok), our public website portfolio, and digital or print advertising.
  • Privacy & Anonymity Safeguard: To protect your privacy, the Company will never disclose the Customer’s full name, home address, physical delivery location, or specific pricing details in any public social media captions or video voiceovers without explicit, separate written consent, following the Privacy Policy.

By accessing, browsing, or utilizing the domains grainlineww.com or grainlineww.net, you agree to abide by standard digital conduct rules:

  • Media Scraping: Users are strictly prohibited from scraping, downloading, or duplicating our high-resolution project photography, video files, or website copy to use on third-party marketplace listings, deceptive advertisements, or personal blogs without a direct backlink and written attribution.
  • System Integrity: You agree not to attempt to breach website security, inject malicious code into contact forms, or interfere with our e-commerce checkout systems.

6. Strict Absolute Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Grainline Woodworks LLC, its members, managers, or employees, be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever.

  • The Legal Ceiling: This includes, without limitation, compensation for loss of use, property damage to surrounding structures, damage to stored high-value goods, personal injury, or emotional distress arising out of or in connection with the purchase, use, or failure of the product. Under all circumstances, the Company’s maximum aggregate financial liability to the Customer under any theory of law (whether in contract, tort, negligence, or strict product liability) shall never exceed the exact total purchase price paid by the Customer for the specific product causing the alleged damage.

7. Governing Law, Dispute Resolution, & Venue

  • Jurisdiction: These Terms of Use and Liability Restrictions shall be governed by, interpreted, and construed exclusively in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.
  • Mandatory Venue: Any legal dispute, claim, mediation, or litigation arising directly or indirectly out of the purchase or use of a product manufactured by the Company must be filed, executed, and resolved exclusively within the appropriate court system of the county where Grainline Woodworks LLC maintains its legal registration or primary place of business in Ohio.
  • Severability: If any individual provision or clause within this document is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that specific provision shall be severed, and the remaining portions of this agreement shall continue in full legal force and effect.
